SEO Maximus

Welcome to SEO Maximus Inc. (“SEO Maximus,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to, use of, and participation in our cryptocurrency project, including the ERC-20 token $SEOM (“Token” or “$SEOM”) on the Polygon mainnet, pre-sale offerings, initial coin offering (ICO) intentions, governance platform, membership levels, and related services (collectively, the “Services”). By accessing, purchasing, holding, redeeming, or interacting with $SEOM or our Services, you agree to be bound by these Terms. If you do not agree, please refrain from using our Services.

Acceptance of Terms

By participating in the pre-sale, ICO, or any related activities, or by holding or using $SEOM, you acknowledge that you have read, understood, and agree to these Terms, including any amendments or updates we may publish on our website at [seomaximus.ai](https://seomaximus.ai) or through official communications. These Terms constitute a legally binding agreement between you (“User,” “Token Holder,” or “you”) and SEO Maximus Inc., a corporation registered under the laws of Delaware, USA.

Description of $SEOM Token

Token Overview: $SEOM is an ERC-20 utility and governance token deployed on the Polygon mainnet, with a total supply capped at 1 billion tokens. $SEOM is designed to facilitate governance participation, access tiered membership benefits, and unlock utility within the SEO Maximus ecosystem, including but not limited to SEO services, blockchain integration, and community perks.

Token Usage: The $SEOM token (“Token”) grants holders certain rights and limitations as part of the SEO Maximus ecosystem. These rights are subject to the following terms:

  • Voting Influence: Token holders may participate in governance decisions related to the SEO Maximus platform, as outlined in the governance framework available on our website. Governance decisions made by token holders are advisory only and are not binding on SEO Maximus, which retains ultimate discretion over platform operations and strategic direction.
  • Utility Scope: The $SEOM token serves as a utility token within the SEO Maximus ecosystem, enabling holders to access premium SEO services, participate in governance, and receive potential rewards as outlined in our staking or incentive programs (if applicable). The Token does not represent equity, shares, or ownership in SEO Maximus, nor does it entitle holders to any revenue, profits, or dividends from SEO Maximus operations. The real-world applications of $SEOM are limited to the services and features provided by the SEO Maximus platform, and SEO Maximus does not guarantee the Token’s utility outside of its ecosystem.

Non-Security Status: $SEOM is not a security, currency, commodity, or investment product under any applicable laws, including U.S. federal securities laws (e.g., Securities Act of 1933, Securities Exchange Act of 1934) or regulations by the Securities and Exchange Commission (SEC) or Commodity Futures Trading Commission (CFTC). $SEOM is a utility token intended solely for use within the SEO Maximus ecosystem and does not represent ownership, equity, or liability in SEO Maximus Inc. or its affiliates.

Bismuth Peg: Each $SEOM token is pegged to 0.01 milligrams (mg) of bismuth crystal, a physical commodity securely stored in a private vault controlled by SEO Maximus Inc. This peg is a conceptual value proposition only and does not constitute a financial guarantee, obligation, promise of redemption, market value, liquidity, or investment return. SEO Maximus Inc. does not represent or warrant that the peg reflects the market value of bismuth, $SEOM, or any related asset. The peg is not a legally binding promise to deliver bismuth or maintain its value, and SEO Maximus Inc. is not liable for any fluctuations in bismuth’s market price, availability, or perceived value.

Token Buyback and Burning Policies: SEO Maximus may, at its sole discretion, implement token buyback or burning mechanisms to manage the supply of $SEOM tokens and enhance the ecosystem’s value proposition. The following terms apply:

  • Buyback Conditions: If SEO Maximus conducts token buybacks, such actions may be funded by platform revenue, presale proceeds, or other sources, as determined by SEO Maximus. Buybacks are not guaranteed, and SEO Maximus is under no obligation to conduct them.
  • Token Burning: If SEO Maximus burns tokens (i.e., permanently removes them from circulation), such actions may apply to unallocated tokens (e.g., unsold presale tokens) or tokens repurchased through buybacks. SEO Maximus will publicly announce any token burning events in advance, but retains sole discretion over the timing, quantity, and method of burns.
  • Unallocated Tokens: Any unallocated tokens from presales, airdrops, or other distribution events may be burned, retained for future use, or otherwise managed at SEO Maximus’s discretion, in accordance with applicable laws and the best interests of the ecosystem.

Staking and Reward Programs: If SEO Maximus offers staking or holding incentive programs for $SEOM tokens, the following terms apply:

  • Reward Distribution: Rewards, if any, will be distributed to eligible token holders in accordance with the rules and schedules outlined in the program documentation, available on our website. Rewards are not guaranteed and may vary based on platform performance, market conditions, and other factors.
  • Risks: Staking or holding $SEOM tokens involves risks, including but not limited to market volatility, smart contract vulnerabilities, and regulatory changes. SEO Maximus is not responsible for losses incurred due to these risks.
  • Tax Implications: Rewards received through staking or incentive programs may be subject to tax obligations in your jurisdiction. You are solely responsible for understanding and complying with all applicable tax laws, and SEO Maximus does not provide tax, legal, or financial advice.

Pre-Sale and ICO

Pre-Sale Offering:

SEO Maximus Inc. is offering $SEOM tokens during a pre-sale phase to accredited and non-accredited investors, subject to applicable laws and regulations. Participation in the pre-sale requires compliance with eligibility criteria, including age (18+), jurisdiction-specific restrictions, and anti-money laundering (AML) and know-your-customer (KYC) verification as required by SEO Maximus or its partners.

Initial Coin Offering (ICO) Intent: SEO Maximus intends to launch an ICO following the pre-sale, subject to regulatory approval, market conditions, and internal decisions. The ICO terms will be published separately and may amend or supersede these Terms as applicable. Participation in the ICO is voluntary and subject to additional terms, eligibility, and risk disclosures.

Risk Acknowledgment: Purchasing $SEOM during pre-sale or ICO involves significant risks, including but not limited to market volatility, regulatory uncertainty, technological risks, and the potential for total loss of value. You acknowledge and accept these risks, and SEO Maximus is not liable for any losses incurred.

Governance and Voting

Governance Platform: $SEOM serves as a governance token for participation in the SEO Maximus DAO, hosted on the Aragon platform on the Polygon mainnet. Token Holders may vote on proposals related to company operations, token policies, membership benefits, and other governance matters via the Aragon app at [https://app.aragon.org](https://app.aragon.org). Voting power is proportional to the number of $SEOM tokens held, determined at a specific blockchain snapshot.

Minimum Proposal Threshold: SEO Maximus DAO may establish a minimum token holding requirement for proposals, currently set at 15,000,000 $SEOM tokens, subject to change via governance proposals. Token Holders with fewer than 15,000,000 $SEOM tokens are not eligible to propose unless this threshold is amended. SEO Maximus reserves the right to adjust governance rules, subject to DAO approval.

Quorum and Participation: Proposals require a quorum (e.g., a percentage of total token supply) and majority vote as defined in the DAO’s governance plugin. SEO Maximus is not responsible for ensuring participation or outcomes of votes, and Token Holders acknowledge that governance decisions are binding and final.

Tiered Membership Levels

Membership Structure: SEO Maximus offers tiered membership levels based on $SEOM token holdings, providing exclusive perks, incentives, and access to networks, discounts, physical items, and digital benefits. Membership levels include:

– Silver Tier (5M – 75M $SEOM): Exclusive early access, premium insider updates, and token bonuses.

– Gold Tier (75M – 200M $SEOM): Invite-only community access, webinars, and partnership discounts.

– Platinum Tier (200M – 500M $SEOM): Custom consultations, unique NFTs, and dedicated support.

– Diamond Tier (500M+ $SEOM): Crypto education, custom tokens, memorabilia, and VR headsets.

Eligibility and Benefits: Membership benefits are non-transferable, except where explicitly stated (e.g., tradeable NFTs on Polygon marketplaces). Benefits are subject to availability, SEO Maximus’s discretion, and these Terms. Token holdings are verified via the Polygon blockchain and may require wallet connection to the SEO Maximus platform.

Termination or Modification: SEO Maximus reserves the right to modify, suspend, or terminate membership levels, benefits, or token requirements at any time, with notice provided via our website or official communications. Such changes do not entitle Token Holders to refunds or compensation unless otherwise stated.

Bismuth Redemption Program

Token Holders may request to redeem $SEOM tokens for physical bismuth crystals in increments of 100 grams (g), requiring 10,000,000 $SEOM tokens per redemption (100g = 100,000mg, and 1 $SEOM = 0.01mg). Redemption is subject to the following conditions:

  • Availability: Redemption is contingent on the availability of bismuth in our vault at the time of the request. SEO Maximus Inc. does not guarantee the availability of bismuth reserves.
  • Compliance: Token Holders must comply with these Terms, complete KYC/AML verification, and adhere to all applicable local, national, and international laws, including but not limited to anti-money laundering, sanctions, and import/export regulations.
  • Redemption Request: Requests must be submitted through our official website or platform at seomaximus.ai, including wallet address verification and proof of token ownership. SEO Maximus Inc. reserves the right to reject requests at its sole discretion.
  • Fees and Costs: Token Holders are responsible for all shipping, handling, insurance, customs duties, import/export taxes, and any other regulatory fees associated with the delivery of bismuth, payable in advance. SEO Maximus Inc. will provide an estimated cost upon request approval, but actual costs may vary and are the Token Holder’s responsibility.
  • Processing Timeline: Redemption requests may take up to 90 days to process from the date of approval, subject to vault logistics, market conditions, and regulatory requirements. SEO Maximus Inc. is not liable for delays beyond its control.

Limitations and Risks: Redemption is not guaranteed and may be delayed, suspended, or terminated at SEO Maximus Inc.’s sole discretion due to, but not limited to, the following:

  • Insufficient bismuth reserves in the vault.
  • Regulatory restrictions, including changes in laws affecting bismuth trading, token redemptions, or international shipments.
  • Operational constraints, such as vault security issues, logistical delays, or market disruptions.
  • Force majeure events, including natural disasters, theft, governmental actions, or other events beyond SEO Maximus Inc.’s control (see Section 12.6).
    Bismuth crystals are provided “as is,” without warranty of purity, quality, marketability, or value. SEO Maximus Inc. is not liable for any loss, damage, or devaluation of bismuth during storage, transit, or post-delivery, nor for any failure to redeem due to the aforementioned conditions.

Non-Fungible and Non-Refundable Redemption: Redeemed bismuth crystals are non-fungible, non-returnable, and non-exchangeable for cash, other assets, or additional $SEOM tokens. Once a redemption request is processed, Token Holders waive any claims against SEO Maximus Inc. for delays, failures to deliver, or discrepancies in the bismuth received. Redemption does not entitle Token Holders to any financial compensation, refund, or replacement.

Regulatory Compliance and Jurisdictional Restrictions: The redemption program is not available to Token Holders in jurisdictions where such activities are prohibited or require licensing not held by SEO Maximus Inc., including but not limited to jurisdictions under U.S. sanctions (e.g., OFAC-sanctioned countries) or regions with restrictions on commodity trading or cryptocurrency redemptions. Token Holders are solely responsible for ensuring that their participation complies with local laws, including import/export regulations, customs duties, and sanctions. SEO Maximus Inc. may refuse redemption requests from restricted jurisdictions or where compliance cannot be verified.

Tax Implications: Redemption of $SEOM tokens for bismuth may constitute a taxable event in your jurisdiction (e.g., capital gains tax in the U.S.). Token Holders are solely responsible for determining and fulfilling their tax obligations, including reporting, filing, and payment of taxes related to token redemption or disposal. SEO Maximus Inc. does not provide tax advice, and Token Holders should consult a qualified tax professional for guidance. SEO Maximus Inc. may report redemption activities to tax authorities as required by law, including but not limited to IRS reporting requirements in the U.S.

Bismuth Reserve Audits and Transparency: SEO Maximus Inc. may, at its discretion, conduct periodic audits of bismuth reserves to verify the peg’s backing and ensure transparency. Such audits, if performed, will be conducted by independent third parties and reported to Token Holders via our website or official communications. However, SEO Maximus Inc. is not obligated to conduct audits, disclose reserve details, or maintain a specific reserve ratio. Token Holders acknowledge that the bismuth peg is a value proposition and not a contractual obligation to hold or maintain reserves.

Force Majeure and Vault Risks: SEO Maximus Inc. is not liable for any failure to redeem bismuth due to force majeure events, including but not limited to natural disasters (e.g., earthquakes, floods), theft, vandalism, governmental actions, regulatory enforcement, or other events beyond our control. In such cases, redemption requests may be delayed, suspended, or canceled without liability to SEO Maximus Inc. Token Holders waive any claims for losses arising from such events.

No Commodity or Investment Representation: The bismuth peg does not classify $SEOM as a commodity, security, or investment product under U.S. or international laws, including regulations by the Commodity Futures Trading Commission (CFTC) or Securities and Exchange Commission (SEC). $SEOM remains a utility and governance token, and the peg is not intended to create a commodity futures contract, swap, or derivative. Token Holders acknowledge that they are not entitled to any profits, dividends, or financial returns based on the bismuth peg or redemption program.

Termination of Redemption Program: SEO Maximus Inc. reserves the right to terminate the redemption program at any time, with or without notice, due to regulatory, operational, or strategic reasons. Upon termination, Token Holders will have no right to redeem $SEOM for bismuth, and SEO Maximus Inc. will not be liable for any losses or claims arising from such termination. Notice of termination will be provided via our website or official communications.

Meta Quest Pro Giveaway

Eligibility

The SEO Maximus Meta Quest Pro VR Giveaway (“Giveaway”) is open to individuals who:

  • Are at least 18 years of age (or the age of majority in their jurisdiction) at the time of entry.
  • Hold $SEOM tokens in a wallet they control, verifiable on the Polygon mainnet (chain ID 137).
  • Are not residents of jurisdictions where participation in such giveaways is prohibited by law (e.g., jurisdictions under U.S. sanctions or where giveaways are restricted). Employees, contractors, affiliates, or immediate family members of SEO Maximus Inc., its partners, or anyone directly involved in the administration of the Giveaway are not eligible to participate. Participants must comply with all applicable local, state, national, and international laws and regulations, including those related to cryptocurrency ownership and giveaways.

Entry Mechanism

The Giveaway begins on March 14, 2025, at 12:00 UTC and ends on the last day of pre-sale (“Giveaway Period”).

To enter, participants must hold $SEOM tokens in a single wallet during the Giveaway Period. Each $SEOM token corresponds to one (1) raffle ticket, calculated based on the wallet balance at the end of the Giveaway Period.

Participants are responsible for acquiring $SEOM tokens through lawful means (e.g., via pre-sale, ICO, or secondary markets).

Entries are limited to one wallet address per person. Multiple wallet addresses controlled by the same individual will be disqualified, and SEO Maximus reserves the right to determine eligibility at its sole discretion.

Prize Details

Thirty-five (35) Meta Quest Pro VR headsets (“Prizes”) will be awarded to thirty-five (35) unique winners.

Each participant can win a maximum of one (1) Prize, regardless of the number of $SEOM tokens held or raffle tickets earned. The approximate retail value of each Meta Quest Pro VR headset is $999 USD, subject to market fluctuations.

Prizes are non-transferable, non-exchangeable, and cannot be redeemed for cash or other alternatives unless expressly agreed by SEO Maximus in writing.

Winner Selection and Notification

4.1 Winners will be selected through a random draw conducted by SEO Maximus within seven (7) days of the Giveaway Period ending, using a verifiably random algorithm (e.g., Chainlink VRF or a similar method).

Winners will be notified via the email address associated with their wallet (if provided) or through a public announcement on seomaximus.ai and SEO Maximus’s official social media channels within fourteen (14) days of the draw.

Winners must respond within seven (7) days of notification to claim their Prize, providing a valid shipping address and proof of identity if requested. Failure to respond will result in forfeiture, and an alternate winner will be selected.

SEO Maximus is not responsible for failed delivery of notifications due to incorrect or outdated contact information.

Prize Distribution

Prizes will be shipped to the address provided by each winner within thirty (30) days of verification, subject to availability and shipping restrictions.

Winners are responsible for any customs duties, taxes, or fees associated with receiving the Prize, including import taxes in their jurisdiction.

SEO Maximus is not liable for delays, damages, or losses during shipping, nor for any defects in the Meta Quest Pro VR headset, which are subject to the manufacturer’s warranty.

Limitation of Liability

To the fullest extent permitted by law, SEO Maximus, its affiliates, and partners shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from participation in the Giveaway, including but not limited to:

  • Loss of $SEOM tokens or other cryptocurrency.
  • Technical failures, including blockchain network issues, wallet malfunctions, or internet disruptions.
  • Inability to participate due to legal restrictions or technical issues. SEO Maximus does not guarantee the value, functionality, or performance of the $SEOM token, which is subject to market risks and volatility. Participation in the Giveaway does not constitute financial advice or a guarantee of token value.

Disqualification and Fraud Prevention

SEO Maximus reserves the right to disqualify any participant who:

  • Uses multiple wallet addresses to gain additional entries.
  • Engages in fraudulent activity, including but not limited to manipulating $SEOM token balances or using bots.
  • Violates these Terms and Conditions or applicable laws. Disqualified participants will forfeit their entries and any claim to a Prize.

Data Privacy

By participating, you consent to SEO Maximus collecting and storing your wallet address, email (if provided), and shipping information (if a winner) for the purpose of administering the Giveaway.

Personal data will be handled in accordance with our Privacy Policy, available at seomaximus.ai/privacy-policy, and will not be shared with third parties except as necessary to fulfill the Prize (e.g., shipping providers).

Participants may request deletion of their data after the Giveaway by contacting support@seomaximus.ai.

Modification or Cancellation

SEO Maximus reserves the right to modify, suspend, or cancel the Giveaway at its sole discretion, including but not limited to situations involving:

  • Technical issues (e.g., blockchain forks, network outages).
  • Legal or regulatory changes affecting the Giveaway.
  • Suspected fraud or abuse. In the event of cancellation, SEO Maximus will not be liable for any losses incurred by participants, and Prizes may not be awarded.

Governing Law and Dispute Resolution

These Terms and Conditions are governed by the laws of Delaware, without regard to conflict of law principles.

Any disputes arising from the Giveaway will be resolved through binding arbitration in Delaware. Participants waive their right to a jury trial or class action.

General Terms

The Giveaway is void where prohibited by law. Participants are responsible for ensuring their participation complies with local laws.

By participating, you agree to these Terms and Conditions and SEO Maximus’s decisions, which are final and binding in all matters related to the Giveaway.

SEO Maximus is not affiliated with Meta or the Meta Quest Pro brand, and this Giveaway is not sponsored, endorsed, or administered by Meta.

Legal and Regulatory Compliance

Jurisdiction: These Terms are governed by the laws of Delaware, USA, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the federal or state courts located in Wilmington, Delaware, and you consent to jurisdiction and venue therein.

Regulatory Disclaimer: $SEOM and the Services are not offered to residents of jurisdictions where such offerings are prohibited by law, including but not limited to the United States (if classified as securities), China, or other restricted regions. You represent and warrant that you are not located in or a citizen of such jurisdictions and comply with all applicable laws, including AML, KYC, and sanctions regulations.

No Securities or Investment: $SEOM is not a security, investment, or financial instrument under any law, including U.S. securities laws or CFTC regulations. It is a utility and governance token for use within the SEO Maximus ecosystem only. SEO Maximus does not provide investment advice, and you acknowledge that $SEOM’s value may fluctuate or become worthless.

Anti-Money Laundering and Know-Your-Customer: SEO Maximus may require KYC/AML verification for pre-sale, ICO, redemption, or membership participation. You agree to provide accurate, complete, and current information and authorize us to share it with third-party service providers for compliance purposes. Failure to comply may result in account suspension or token forfeiture.

Risks and Disclaimers

General Risks: Participating in $SEOM, pre-sale, ICO, governance, or membership involves risks, including but not limited to:

– Market volatility and potential loss of token value.

– Technological risks (e.g., smart contract bugs, Polygon network failures).

– Regulatory changes or enforcement actions.

– Loss of access to wallets, private keys, or tokens due to user error or hacking.

No Guarantees: SEO Maximus makes no warranties, express or implied, regarding $SEOM’s value, utility, or future performance. The bismuth peg, governance outcomes, and membership benefits are provided “as is,” without assurance of availability, profitability, or success.

Limitation of Liability: SEO Maximus Inc., its affiliates, officers, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of $SEOM, Services, or these Terms, including but not limited to lost profits, data, or opportunities, even if advised of such damages.

Wallet Security: You are solely responsible for securing your cryptocurrency wallet, private keys, and any other credentials used to access your $SEOM tokens. SEO Maximus does not store, manage, or have access to your private keys and cannot recover lost, stolen, or inaccessible tokens. We strongly recommend using a hardware wallet for enhanced security and warn users to be vigilant against phishing attempts, scams, and other fraudulent activities targeting cryptocurrency holders. SEO Maximus is not liable for any losses resulting from compromised wallets or credentials.

Intellectual Property

All intellectual property related to $SEOM, SEO Maximus, the Services, and associated materials (e.g., website content, logos, NFTs) is owned by SEO Maximus Inc. or its licensors. You may not reproduce, distribute, or use such property without explicit permission, except as necessary to participate in the Services. 

Data Collection and Analytics: SEO Maximus may collect and analyze data related to user interactions with the platform to improve services, enhance security, and comply with legal obligations. This data may include, but is not limited to:

  • Wallet addresses and transaction histories on the blockchain;
  • Browsing behavior, IP addresses, and device information on our website or platform; and
  • Interactions with governance, staking, or reward programs.
    We may use third-party blockchain analytics tools (e.g., Chainalysis, Nansen) to monitor transactions, detect fraud, and ensure compliance with anti-money laundering (AML) and know-your-customer (KYC) regulations. For more details on how we collect, use, and protect your data, please refer to our Privacy Policy, available on our website.

Termination and Suspension

Termination: SEO Maximus may terminate or suspend your access to $SEOM, governance, membership, or Services at any time for breach of these Terms, regulatory compliance, or operational reasons, with or without notice. Upon termination, you forfeit any unredeemed benefits, tokens, or claims, except as required by law.

Fraud Prevention Measures: SEO Maximus is committed to maintaining a fair and transparent ecosystem for all users. To prevent fraudulent activities, the following measures are in place:

  • Monitoring and Detection: SEO Maximus employs advanced monitoring tools and blockchain analytics to detect and prevent fraudulent activities, including but not limited to wash trading, token manipulation, pump-and-dump schemes, and Sybil attacks (the creation of multiple accounts by a single entity to manipulate governance or rewards).
  • Blacklisting Policies: SEO Maximus reserves the right to blacklist or freeze wallets, accounts, or tokens associated with illegal or fraudulent activities, as determined in our sole discretion. Such activities may include violations of applicable laws, breaches of these Terms, or actions that harm the integrity of the SEO Maximus ecosystem. Blacklisted accounts will be ineligible to participate in governance, rewards, or other platform features, and SEO Maximus may cooperate with law enforcement or regulatory authorities as required by law.

Exit Strategy and Contingency Plan: In the unlikely event that SEO Maximus discontinues the $SEOM project or ceases operations, the following terms apply:

  • Funds and Refunds: SEO Maximus is not obligated to return funds raised through presales, token sales, or other activities, except as required by applicable law. Any refunds or token migrations, if offered, will be at SEO Maximus’s sole discretion and subject to available resources.
  • Governance Transition: If governance of the $SEOM ecosystem is transferred to a decentralized autonomous organization (DAO) or other entity, SEO Maximus will provide advance notice and facilitate a transition plan to the extent feasible. If no such transition occurs, governance rights may be dissolved.
  • Token Utility: Upon discontinuation, $SEOM tokens may lose all utility within the SEO Maximus ecosystem, and SEO Maximus will not be liable for any resulting losses in token value or functionality.

Amendments

SEO Maximus may amend these Terms at any time by posting updated versions on [seomaximus.ai](https://seomaximus.ai) or notifying you via email or platform announcements. Continued use of $SEOM or Services after amendments constitutes acceptance of the new Terms.

Dispute Resolution

Dispute Resolution: Any disputes arising out of or related to these Terms, the $SEOM token, or the SEO Maximus platform will be resolved in accordance with the following process:

  • Informal Resolution: Before initiating formal proceedings, you must notify SEO Maximus in writing of any dispute or claim at support@seomaximus.ai and allow SEO Maximus thirty (30) days to attempt to resolve the issue informally.
  • Binding Arbitration: If the dispute remains unresolved after the informal resolution period, it will be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be conducted in Newtown, PA, in the English language, and by a single arbitrator. The arbitrator’s decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. Each party will bear its own costs and attorneys’ fees, except as otherwise required by law or the arbitrator’s ruling.
  • Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action.

Miscellaneous

Entire Agreement: These Terms constitute the entire agreement between you and SEO Maximus regarding $SEOM and the Services, superseding all prior agreements or understandings.

Severability: If any provision is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.

No Waiver: Failure to enforce any right under these Terms does not constitute a waiver of such right.

Assignment: SEO Maximus may assign these Terms without notice. You may not assign your rights or obligations without our prior written consent.
